Agreement between User and Priyme Inc

Welcome to https://priymeinc.com. The Priyme Inc website (the "Site") is comprised of various web pages operated by Priyme Inc ("Company"). Our Site utilizes proprietary technology infrastructure built, maintained, and licensed by Dandalee Inc. ("Technology Provider").

Priyme Inc is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of the Site constitutes your agreement to all such Terms.

Description of Service

Priyme Inc is an AI-driven Smart Quotes platform. We provide project dashboards for automation, Smart Quoting, and supply chain analytics. All software functionality and AI models originate from the Dandalee technological ecosystem.

Fees, Payments, and Strict No-Refund Policy

1. Strict No-Refund Policy: All financial transactions executed on the Site or through custom enterprise invoices are completely final, non-refundable, and non-creditable.
2. One-Time Implementation & Setup Fees: The $2,500.00 Enterprise Setup and Onboarding Fee covers immediate cloud provisioning, customized QuickBooks ledger mapping, and dedicated partner architecture allocations. Because these infrastructure configurations incur immediate computational and engineering costs by Company and Technology Provider, this fee is 100% non-refundable under any circumstance, regardless of contract termination.
3. Subscription Billing: SaaS subscriptions (Premium and Enterprise tiers) are billed on a recurring basis (monthly or annually). Users may cancel their subscription at any time; however, cancellation will apply to the next billing cycle. No pro-rated refunds or credits will be issued for unused portions of a current billing period.

Chargebacks and Payment Disputes

By upgrading your account or executing an invoice, you explicitly waive your right to initiate a credit card or bank chargeback dispute for valid services rendered. In the event that a user initiates an unauthorized chargeback or payment dispute through their financial institution, Priyme Inc and Dandalee Inc. reserve the right to:

1. Immediately and permanently terminate the user's platform access and data pipelines without notice.
2. Levy an administrative recovery fee of $150.00 to cover legal processing adjustments.
3. Deliver the user's audit trail, signed contracts, and data logs directly to the merchant processor to enforce collections.

Privacy

Your use of the Site is subject to Priyme's Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices and our relationship with our technology provider, Dandalee Inc.

Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use the Site. All content included as part of the Service—such as text, graphics, logos, and the AI algorithms—is the property of Priyme Inc, Dandalee Inc., or their suppliers and is protected by copyright and proprietary laws.

You agree not to reverse engineer, modify, or exploit any of the software provided by Dandalee Inc. through the Priyme Inc platform.

Termination

Priyme Inc reserves the right, in its sole discretion, to terminate your access to the Site and the related services at any time, without notice, for conduct that violates these Terms or is harmful to our Technology Provider's infrastructure.
